TERMS AND CONDITIONS OF THE TOK9 PLATFORM

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY, AS THEY APPLY TO ALL USERS OF THE TOK9 PLATFORM.

BY ACCESSING, CONNECTING A WALLET, OR INTERACTING WITH THE PLATFORM, YOU DECLARE THAT YOU HAVE READ, UNDERSTOOD, AND FULLY AGREED TO THESE TERMS, CREATING A LEGALLY BINDING AGREEMENT BETWEEN YOU AND RSD TEC LDA.

RSD TEC LDA is responsible for the technical operation, development, and maintenance of the Tok9 blockchain infrastructure and marketplace.

2. GENERAL PROVISIONS

These Terms govern access to and use of the Tok9 Platform, including:

  • Wallet connection
  • Digital asset interaction
  • Marketplace participation
  • Listing publication
  • On-chain transactions

Tok9 operates as a technological infrastructure platform.

RSD TEC LDA:

  • Does not act as a financial intermediary
  • Does not provide investment advice
  • Does not act as a fiduciary
  • Does not custody user funds or tokens

All transactions occur directly between blockchain participants.

3. DEFINITIONS

  • Platform: The Tok9 website, blockchain network, and associated services.
  • User: Any individual or legal entity accessing or using the Platform.
  • Digital Asset: Any tokenized asset issued or traded on Tok9.
  • Token: The native Tok9 blockchain token used for settlement and fee logic.
  • Listing: A digital asset offered for primary or secondary marketplace interaction.
  • Wallet: A third-party digital wallet compatible with Tok9.
  • KYC: Identity verification process required under applicable laws.

4. ELIGIBILITY

To use Tok9, Users must:

  • Be at least 18 years old
  • Possess full legal capacity
  • Not be subject to EU or international sanctions
  • Not reside in prohibited jurisdictions

RSD TEC LDA reserves the right to restrict access based on regulatory requirements.

5. ACCOUNT AND WALLET

Tok9 does not require custodial accounts.

Users interact through external wallets.

Users are solely responsible for:

  • Securing private keys
  • Reviewing transactions before signing
  • Ensuring wallet compatibility

Loss of private keys results in irreversible loss of access.

6. PLATFORM SERVICES

Tok9 enables:

  • Digital asset issuance
  • Marketplace listing and trading
  • On-chain settlement
  • Deterministic protocol fee enforcement

Tok9 does not guarantee:

  • Asset performance
  • Liquidity
  • Returns
  • Completion of third-party projects

7. USER OBLIGATIONS

Users agree to:

  • Provide accurate information where required
  • Comply with applicable laws
  • Avoid fraudulent or manipulative conduct
  • Not attempt to exploit smart contract vulnerabilities

Prohibited activities include:

  • Market manipulation
  • Sanctions evasion
  • AML violations
  • Unauthorized technical interference

8. FEES

The Platform may apply:

  • Protocol-level fees
  • Marketplace transaction fees
  • Listing fees

Fees are disclosed before transaction confirmation.

All blockchain transactions are final and irreversible.

9. COMPLIANCE AND AML

Where legally required, Tok9 may:

  • Require identity verification
  • Conduct sanctions screening
  • Restrict transactions
  • Report suspicious activities to competent authorities

RSD TEC LDA reserves the right to suspend or restrict interaction in compliance-related scenarios.

10. SUSPENSION AND TERMINATION

RSD TEC LDA may suspend or terminate access if:

  • Terms are violated
  • Illegal activity is suspected
  • Required by competent authority

Users may cease use at any time.

11. LIMITATION OF LIABILITY

The Platform is provided "AS IS".

RSD TEC LDA shall not be liable for:

  • Market losses
  • Blockchain network failures
  • Wallet compromise
  • Third-party misconduct
  • Regulatory changes

Maximum liability is limited to fees paid in the preceding 12 months.

12. INTELLECTUAL PROPERTY

All intellectual property related to Tok9 belongs to RSD TEC LDA. Users may not reproduce, copy, or commercially exploit platform materials without written authorization.

13. DATA PROTECTION

Personal data is processed in accordance with GDPR and Portuguese data protection laws. See Privacy Policy for details.

14. FORCE MAJEURE

RSD TEC LDA shall not be liable for events beyond reasonable control, including:

  • Natural disasters
  • Cyber incidents
  • Regulatory orders
  • Infrastructure outages

15. DISPUTE RESOLUTION

These Terms are governed by Portuguese law.

16. AMENDMENTS
